Terms of Service

1. The Service

ReferFront is a platform that helps people and businesses request and make introductions. Members may post requests describing the type of person, business, or service they are looking to connect with. Other members may respond by referring someone they know who may be relevant to the request.

A referrer may set a price for a referral they submit. The requester receives the referral details and may decide whether to pursue the introduction. ReferFront does not contact or require action from the person or business being referred.

ReferFront provides the platform for facilitating these connections. We do not guarantee that a referral will result in contact, a sale, a customer, a contract, payment, or any other business outcome.

2. Accounts

You may need to create an account to use certain features of the Service. You agree to provide accurate and current information and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs through your account. You should notify us if you believe your account has been accessed without authorization.

You must be at least 18 years old to create an account or use the Service.

3. Requests

When posting a request, you are responsible for providing an accurate description of what you are looking for. Requests should be genuine and made for legitimate business or personal purposes.

You may not use requests to collect information for unrelated purposes, solicit members inappropriately, promote unlawful activity, or otherwise misuse the Service.

We may remove requests that are misleading, inappropriate, fraudulent, unlawful, or otherwise inconsistent with the purpose of the Service.

4. Referrals

When submitting a referral, you are responsible for providing information that you have the right to share.

You should only submit a person's contact information when you have a legitimate reason to believe that the referral is relevant to the request and appropriate to make.

You may not submit false, misleading, fraudulent, abusive, spam, or unsolicited referrals, or information obtained unlawfully.

We may remove referrals, reject referrals, suspend referral activity, or restrict accounts that misuse the Service.

5. Referral Prices and Payments

A referrer may set the price they are willing to accept for a referral. The requester is responsible for reviewing the referral and deciding whether to pursue the connection.

Unless otherwise agreed between the requester and referrer, payment of the referral price is a matter between those parties. ReferFront does not guarantee that a requester will pay a referrer or that a referral will result in a business transaction.

Members are responsible for communicating clearly about payment and for fulfilling any obligations they agree to with another member.

ReferFront may keep records of referral activity and related transactions for account administration, fraud prevention, dispute review, and other legitimate business purposes.

6. ReferFront Credits

ReferFront may provide members with credits that allow them to submit referrals. Credits may be provided for free or purchased through the Service.

Purchased credits are for use on ReferFront and have no cash value. Credits may not be sold, transferred, exchanged, or redeemed for cash unless we expressly allow otherwise.

We may change the number of credits included with a purchase or the price of future credit purchases. Changes will not retroactively alter credits that have already been purchased.

We may invalidate credits obtained through fraud, chargebacks, payment reversals, abuse, or other unauthorized activity.

7. Payments to ReferFront

Certain features of the Service may require payment, including the purchase of additional referral credits. Applicable prices will be displayed before you complete a purchase.

Payments may be processed by a third-party payment provider. By completing a payment, you authorize the applicable payment provider to process the transaction according to its terms and policies.

We may refuse, cancel, or reverse a transaction where we reasonably believe the transaction is fraudulent, unauthorized, duplicated, or otherwise invalid.

8. Business Relationships

ReferFront helps members discover and make introductions. We are not a party to any agreement, sale, contract, employment relationship, or other business relationship that may result from a referral.

We are not responsible for the quality, legality, availability, pricing, or performance of any products or services offered by a member or a person introduced through the Service.

Members are responsible for conducting their own due diligence before entering into a business relationship or relying on information received through a referral.

9. Acceptable Use

You may not use the Service to:

• break the law or facilitate unlawful activity;
• commit fraud or submit false or misleading information;
• send spam, harassment, or unwanted solicitations;
• submit someone's information without a legitimate purpose;
• create accounts or activity for deceptive purposes;
• attempt to gain unauthorized access to accounts, systems, or data;
• interfere with the operation or security of the Service; or
• otherwise misuse ReferFront or its members.

We may investigate suspected violations and take appropriate action, including removing content, restricting features, suspending accounts, or terminating accounts.

10. Privacy and Personal Information

Your use of ReferFront is also subject to our Privacy Policy, which explains how we collect, use, store, and protect personal information.

When you submit another person's contact information as part of a referral, you represent that you have a legitimate reason and appropriate authority to share that information for the purpose of the referral.

You should not submit sensitive personal information that is not necessary for making the referral.

11. Fees

Some features of ReferFront may be free while others may require payment. Any applicable fees will be presented before you are charged.

We reserve the right to change our pricing, including the price of referral credits. Pricing changes apply to future purchases and do not change amounts already paid.

12. Intellectual Property

The Service, including its software, design, branding, text, graphics, logos, and other content, is owned by us or our licensors and is protected by applicable intellectual property laws.

You retain ownership of information and content that you submit to ReferFront. By submitting content, you grant us the rights reasonably necessary to store, display, process, and operate the Service using that content.

13. Account Suspension and Termination

We may suspend, restrict, or terminate accounts that violate these Terms, misuse the Service, engage in fraudulent activity, or participate in activity that could harm ReferFront or its users.

You may stop using the Service and request closure of your account at any time.

Termination does not eliminate obligations that by their nature should continue after termination, including obligations relating to payments, disputes, intellectual property, disclaimers, and limitations of liability.

14. Disclaimers

The Service is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free. We do not guarantee the accuracy or reliability of information provided by members or that any referral will result in a successful connection, sale, customer, contract, payment, or other outcome.

We do not endorse or guarantee any member, referral, business, product, service, or person introduced through the Service.

15. Limitation of Liability

To the maximum extent permitted by law, ReferFront and its owners, operators, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Service.

This includes losses arising from referrals, introductions, business relationships, lost revenue, lost profits, loss of business opportunities, disputes between members, or actions taken by people or businesses introduced through the Service.

To the maximum extent permitted by law, our total liability arising from your use of the Service will not exceed the amount you paid to ReferFront during the twelve months immediately preceding the event giving rise to the claim.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ReferFront and its owners, operators, affiliates, and service providers from claims, losses, liabilities, and expenses arising from your misuse of the Service, violation of these Terms, violation of applicable law, or infringement of another person's rights.

17. Changes to These Terms

We may update these Terms from time to time. We may communicate material changes through the Service or by other reasonable means.

The updated Terms will become effective on the date stated in the updated version. Continued use of the Service after the updated Terms become effective means you accept the revised Terms.

18. Governing Law

These Terms are governed by the laws of the Province of Alberta and the applicable laws of Canada, without regard to conflict of law principles.
